Definitions

Us / We / Our - shall be read to mean RHD Franchising Limited

You / Your - shall be read to mean the person requesting further information about Handy Do^®

By requesting further information about Handy Do^® You are agreeing to abide by the terms on which We agree to disclose information to You ("Terms of Disclosure").

Confidentiality

In consideration of Us disclosing certain information about the Handy Do^® Franchise proposal (“the Proposal”) concerning the business that provides domestic and commercial property repair and maintenance services (“the Business”) You hereby agree to hold in confidence information emanating from Us.

“Confidential information” shall mean any information, in intangible or documentary form, emanating from Us or our Franchisees, and not in the public domain, including any compilations of otherwise public information in a form not in the public domain. In particular, the term shall include all financial information or projections concerning the Business, methods of customer procurement, the provision of ancillary services, and comments or information given to You by any of Our Franchisees.

You agree to acknowledge the rights of Handy Do^® Limited to own all of the confidential information, and their right to enforce this Agreement against You, in the event that You breach any of its terms.

You agree that You will not disclose, copy, use, or permit the use of the confidential information for any purpose, at any time, in any way, except as necessary for the purpose of the Proposal and than only in such a manner as to protect fully the confidentiality of the information. You acknowledge that You cannot assign any of Your rights or obligations under these Terms of Disclosure to any other person without Our written consent.
